1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Pragmatic Solutions MT Limited, doing business as Pragmatic Solutions ("Company," "we," "us," or "our"), concerning your access to and use of our website, services, and gaming platform integration solutions.

By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

2. Eligibility and Registration

2.1 Age Requirements

You must be at least 19 years of age (or the legal age of majority in your jurisdiction) to use our services. By using our services, you represent and warrant that you meet this age requirement.

2.2 Business Registration

To access our platform integration services, you must:

• Represent a legitimate business entity in the gaming industry
• Provide accurate and complete registration information
• Hold all necessary licenses and permits required in your jurisdiction
• Comply with all applicable gaming regulations and laws

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

3. Services Description

Pragmatic Solutions provides gaming platform integration services, including but not limited to:

• API integration and connectivity solutions
• Technical implementation support
• Platform configuration and customization
• Ongoing maintenance and updates
• Compliance monitoring and reporting
• Technical documentation and training

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

4. Licensing and Compliance

4.1 Our Licensing

Pragmatic Solutions MT Limited is registered with the Alcohol and Gaming Commission of Ontario (AGCO) as a Gaming-Related Supplier under Registration No. GRSM1236050, valid until April 03, 2026. We operate in compliance with the Gaming Control Act, 1992 and all applicable regulations.

4.2 Client Responsibilities

Clients must:

• Maintain all required gaming licenses and regulatory approvals
• Comply with all applicable laws and regulations in their operating jurisdictions
• Implement responsible gaming measures
• Maintain appropriate anti-money laundering (AML) procedures
• Report any compliance issues or concerns to us immediately

4.3 Regulatory Cooperation

We reserve the right to cooperate with regulatory authorities and may be required to report certain activities or suspend services if we believe there is a violation of gaming regulations.

5. Acceptable Use Policy

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Transmit any viruses, malware, or harmful code
• Reverse engineer, decompile, or disassemble our software
• Use our services to facilitate money laundering or fraud
• Misrepresent your identity or affiliation
• Collect or harvest information about other users

6. Intellectual Property Rights

6.1 Our Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Pragmatic Solutions or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your business purposes in accordance with these Terms.

6.3 Client Content

You retain ownership of any content you provide to us. By using our services, you grant us a license to use, process, and store your content as necessary to provide our services.

7. Fees and Payment

7.1 Service Fees

Fees for our services are specified in your service agreement or quote. All fees are in Canadian dollars unless otherwise stated.

7.2 Payment Terms

• Payment is due according to the terms specified in your invoice
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

7.3 Taxes

All fees are exclusive of applicable taxes, which will be added to invoices as required by law.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of these Terms.

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAGMATIC SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pragmatic Solutions and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Term and Termination

12.1 Term

These Terms remain in effect while you use our services.

12.2 Termination by You

You may terminate your account at any time by providing written notice to us.

12.3 Termination by Us

We may suspend or terminate your access to our services immediately if:

• You breach these Terms
• You fail to pay fees when due
• Your gaming license is revoked or suspended
• We are required to do so by law or regulatory authority
• We cease providing services

12.4 Effect of Termination

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including confidentiality, intellectual property, and limitation of liability provisions.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

13.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the Arbitration Act of Ontario, except where prohibited by law.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Pragmatic Solutions.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes, and your continued use of our services constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.4 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
